Terms and Condition
1. **INTRODUCTION** This Affiliate Program Agreement (the "Agreement") is established and becomes effective as of [DATE], by and between Clean Credit Clinic ("CCC"), a company specializing in credit repair and enhancement services, and the undersigned affiliate (hereinafter referred to as the "Affiliate"). Parties Involved: This Agreement is entered into by Clean Credit Clinic and the affiliate, both of whom are keen on establishing a mutually beneficial partnership through the CCC Affiliate Program. Purpose: The primary objective of this Agreement is to outline the terms and conditions under which the affiliate will promote CCC's products and services. It aims to ensure that all promotional activities undertaken by the affiliate comply with the standards and guidelines set forth by CCC, fostering a transparent, respectful, and effective working relationship.

2. **AFFILIATE PROGRAM APPROVAL, DENIAL, & TERMINATION** Clean Credit Clinic reserves the right to approve, deny, or terminate any and every affiliate at any given time for any reason in its sole. Included but not limited to: (a) if the Affiliates’s website contains images or content that is not acceptable to Clean Credit Clinic or is inconsistent with the image that the Owner wishes to create in association with the Owner’s website. (b) if the affiliate’s website contains any illegal, immoral, repulsive, defamatory, derogatory, harassing, harmful, threatening, obscene, vulgar, pornographic, or racially or ethnically objectionable materials, depicts sexual situations, promotes discrimination based on race, sex, sexual preference, national origin, ethnicity, nationality, disability, or religious preference. (c) If the Affiliates’s site contains any material that appears to Clean Credit Clinic to violate any patent, trademark, copyright, trade secret, confidential information, or other property rights of any other party.

3. **FINANCIAL RESPONSIBILITIES** The Recipient will be fully responsible for all costs and expenses of maintaining and marketing the affiliate program, including but not limited to all costs associated with the creations, hosting, modification, and improvements to the Recipient’s website, costs of search engine placement and other Internet marketing, costs of inserting the Owner’s links into the Owner’s website, offline marketing costs, postage costs, and all other costs and expenses, and the Recipient hereby holds Clean Credit Clinic harmless from or against the same.

4. **ANTI-SPAM POLICY** Clean Credit Clinic strictly forbids the use of unsolicited commercial email (UCE) or SPAM campaigns. Clean Credit Clinic maintains a “Zero-Tolerance” policy against SPAM, be it direct, a third party, or any affiliate or similar agent acting on the affiliate’s behalf. As such, Clean Credit Clinic reserves the right to terminate any violating affiliate account or any part thereof, without notice or compensation. Any Recipient found to be involved in a SPAM/UCE campaign, including flooding newsgroups, distributing messages to recipients that do not want the information, or any other abuse contravening UCE legislation will be met as follows: a. The affiliate’s account will be closed immediately, without the burden of notice or compensation. b. Our Privacy Policy becomes null, and all pertinent information will be provided to any investigating authorities or anti-spam organizations.

5. **COMMISSIONS, BONUSES & PAYMENTS** Earning Commissions & Bonuses: Commission & bonuses will be given accordingly based on the agreed amount on the affiliate marketing network and are subject to change at any time without notice. Payments, Payment Methods, and Timing: Funds for sales and bonuses will be distributed/released on the 60th day of sale. Only if the customer does not request a refund or file a chargeback on the payment. All payment methods and responsibilities of release after that term will be based on the affiliate marketing network.

6. **NO TOLERANCE FOR DEFAMATION AND RESTRICTIONS ON WORKING WITH COMPETING BUSINESS** Clause 1: No Tolerance for Defamation 6.1. The Affiliate hereby agrees and commits to refrain from engaging in any form of defamation against the Company, its products, services, employees, partners, or affiliates. This includes, but is not limited to, the publication or dissemination of false, misleading, or derogatory statements that could harm the reputation or operational efficiency of the Company. 6.2. For the purposes of this agreement, "defamation" encompasses both libel (written statements) and slander (spoken statements) that are recognized as damaging to the Company's reputation. 6.3. The Affiliate understands that any violation of this clause will result in immediate termination of this Agreement and may lead to legal action against the Affiliate for damages incurred by the Company as a result of such defamation. Clause 2: Restrictions on Working with Competing Businesses 6.4. The Affiliate agrees not to engage, directly or indirectly, in any promotional, marketing, or other business activities for any company or entity that is in direct competition with the primary business activities of the Company during the term of this Agreement. 6.5. For the duration of this Agreement and for a period of [specific time frame, e.g., 12 months] following its termination, the Affiliate must not enter into any agreement or relationship that would cause a conflict of interest without prior written consent from the Company. 6.6. Should the Affiliate wish to engage with another business in a manner that could potentially conflict with the terms outlined in this Agreement, the Affiliate must seek and obtain written approval from the Company before initiating any such activities. 6.7. A breach of this clause by the Affiliate will be considered a material breach of the Agreement and may result in immediate termination of the Agreement, alongside any other remedies the Company may seek under applicable law. Enforcement and Remedies In the event of a breach of either Clause 1 or Clause 2 by the Affiliate, the Company reserves the right to terminate the Agreement immediately without liability and to seek all remedies available under law and equity, including but not limited to injunctive relief, damages, and a decree for specific performance of the terms of this Agreement. This section of the contract is designed to protect the Company's interests and reputation while setting clear expectations and boundaries for the Affiliate's conduct in relation to defamation and engagements with competing entities.

7. **RESTRICTION ON SERVICE PROVISION IN CERTAIN STATES** 7.1 Clean Credit Clinic acknowledges and agrees that it is licensed to provide credit repair services in forty-nine (49) states within the United States, excluding the state of Georgia. 7.2 The Affiliate acknowledges and agrees that Clean Credit Clinic does not offer credit repair services to clients located in the state of Georgia. 7.3 In the event that a client from the state of Georgia is inadvertently signed up through the affiliate link provided by the Affiliate, Clean Credit Clinic reserves the right to immediately refund any fees or charges collected from said client and retract any commissions previously awarded to the Affiliate. 7.4 The Affiliate agrees to exercise due diligence in promoting Clean Credit Clinic's services and ensures that potential clients from the state of Georgia are not directed towards Clean Credit Clinic's services. 7.5 The Affiliate further acknowledges and understands that engaging in credit repair activities within the state of Georgia without using the appropriate terminology compliant with Georgia state regulations is illegal. Therefore, the Affiliate agrees to refrain from promoting Clean Credit Clinic's services to individuals located in Georgia or using any language that suggests credit repair services within the state of Georgia. 7.6 The Affiliate agrees to indemnify and hold Clean Credit Clinic harmless from any claims, liabilities, damages, losses, or expenses arising out of or in connection with the Affiliate's failure to comply with the provisions outlined in this section. Conclusion Both Clean Credit Clinic and the Affiliate acknowledge and agree to the terms and conditions set forth in this Agreement. By entering into this Agreement, both parties affirm their commitment to establishing a mutually beneficial partnership that adheres to legal requirements, industry standards, and ethical business practices. Clean Credit Clinic and the Affiliate recognize the importance of transparency, integrity, and compliance with applicable laws and regulations in all aspects of their business relationship. Through diligent promotion and responsible conduct, the parties aim to maximize the effectiveness of Clean Credit Clinic's services while safeguarding the interests of clients and ensuring regulatory compliance. This Agreement represents the entire understanding between Clean Credit Clinic and the Affiliate and supersedes all prior agreements, representations, and understandings, whether oral or written, pertaining to the subject matter herein. Any modifications or amendments to this Agreement must be made in writing and signed by both parties. By affixing their signatures below, Clean Credit Clinic and the Affiliate signify their acceptance and agreement to be bound by the terms and conditions of this Agreement.
